By accessing or using our Website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Website or services.
2. Definitions
In these Terms, unless the context otherwise requires:
- "Client" means the individual or entity engaging our services.
- "Services" means the equestrian facility management, training, consultancy, event coordination, transport logistics, and property development advisory services offered by PAXX Equestrian.

- "Australian Consumer Law" means Schedule 2 to the Competition and Consumer Act 2010 (Cth).
3. Website Use
You agree to use our Website only for lawful purposes and in a manner that does not infringe the rights of any third party or restrict or inhibit anyone else's use and enjoyment of the Website. Prohibited behaviour includes harassing, causing distress or inconvenience to any person, transmitting obscene or offensive content, or disrupting the normal flow of dialogue on our Website.
4. Intellectual Property
All content on this Website, including but not limited to text, graphics, logos, icons, images, page layout, and underlying software code, is the property of PAXX Equestrian Pty Ltd or its content suppliers and is protected by Australian and international copyright and trade mark laws.
You may view, download, and print pages from the Website for your personal, non-commercial use provided you do not modify, reproduce, distribute, or commercially exploit any content without our prior written consent.
5. Service Engagement
Engagement of our Services is subject to a separate written agreement or service proposal. These Terms do not constitute a binding agreement for the provision of Services unless and until a specific service agreement is executed by both parties. Each service engagement will be governed by its own terms, which may supplement or vary these Terms.
6. Fees and Payment
Fees for Services will be set out in the relevant service proposal or agreement. Payment terms, including invoicing schedules, due dates, and any late payment charges, will be specified in that agreement unless otherwise agreed in writing. All fees are in Australian dollars and exclude goods and services tax (GST) unless stated otherwise.
7. Consumer Guarantees
Our Services come with guarantees that cannot be excluded under the Australian Consumer Law (ACL). Nothing in these Terms is intended to exclude, restrict, or modify any consumer guarantee, right, or remedy conferred by the ACL or any other applicable law that cannot be excluded.
If you are a consumer within the meaning of the ACL, you are entitled to the following statutory guarantees: that our Services will be rendered with due care and skill; that any materials supplied in connection with the Services will be fit for purpose; and that the Services will be supplied within a reasonable time.
8. Limitation of Liability
To the maximum extent permitted by law:
- PAXX Equestrian's total liability for any claim arising out of or in connection with these Terms, whether in contract, tort (including negligence), statute, or otherwise, is limited to the fees paid by you for the specific Service giving rise to the claim.
- We will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or loss of goodwill.
- We make no representations or warranties of any kind, express or implied, regarding the operation or availability of the Website, or the accuracy, completeness, or reliability of any content displayed on the Website.
9. Indemnification
You agree to indemnify and hold harmless PAXX Equestrian Pty Ltd, its officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Website, your breach of these Terms, or your violation of any applicable law or third-party right.
10. Termination
We reserve the right to suspend or terminate your access to the Website, or to decline or terminate the provision of any Services, at any time without prior notice if:
- You breach any material term of these Terms or any applicable service agreement.
- You engage in conduct that we reasonably believe may cause harm to PAXX Equestrian, its clients, or the public.
- We are required to do so by law or regulatory direction.
Upon termination, any accrued rights and obligations will survive, and you must cease all use of the Website and any materials provided to you under any service agreement.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of Victoria, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia (Victorian Registry) for the resolution of any disputes arising out of or in connection with these Terms.
12. Dispute Resolution
If a dispute arises under these Terms, the parties agree to first attempt to resolve the dispute through good-faith negotiations. If the dispute cannot be resolved within 21 days, either party may refer the matter to mediation administered by a recognised dispute resolution service in Victoria. Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.
13. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be severed, and the remaining provisions will continue in full force and effect.
14. Entire Agreement
These Terms, together with any specific service agreement entered into between you and PAXX Equestrian, constitute the entire agreement between the parties and supersede all prior communications, representations, and agreements, whether oral or written.
15. Amendments
We reserve the right to amend these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Website or Services after any such changes constitutes your acceptance of the amended Terms.
